Assist™ Supplemental Terms of Service
Welcome to Assist!
Assist is a feature of the Unbound Medicine platform that leverages artificial intelligence (AI) to support a range of activities at the nexus of healthcare and education.
These Assist Supplemental Terms of Service (the “Assist Terms”) constitute a binding, contractual agreement between Unbound Medicine, Inc. (“Unbound”) and you, whether you are an Institutional Customer or an Assist User (as defined below). These Assist Terms supplement both the Unbound Medicine End User License Agreement (“EULA”) and the applicable Unbound Institutional Customer Licensing Agreement (“Institutional License”). In the event of any conflict between these Assist Terms and the EULA and/or Institutional License, the provisions in these Assist Terms will prevail.
Capitalized terms not defined herein will have the meanings given to them in the EULA. Upon your acceptance of these Assist Terms, Assist will be included in the definition of “Service” in the EULA and the Institutional License, and these Assist Terms will be incorporated into the definition of “Agreement” in the EULA and the Institutional License.
BY ACCEPTING THESE ASSIST TERMS OR BY USING ASSIST, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE ASSIST TERMS. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THESE ASSIST TERMS, YOU MUST NOT ACCEPT THESE TERMS OR USE ASSIST.
1. DEFINITIONS.
Assist Users and Institutional Customers: An “Assist User” is either: (a) an end user who is an employee, contractor, representative, or agent of an Institutional Customer and has been granted access to Assist by such Institutional Customer as an authorized user, or (b) an individual who has paid the Service fees for themselves. An “Institutional Customer” is an entity that has executed an Institutional License with Unbound and pays the fees for one or more subscriptions to the Service for its authorized users.
Content : "Content" refers to all proprietary text, sound, photographs, video, graphics, or other material that is created, provided, or otherwise made available by Unbound or its licensors through Assist, including but not limited to educational modules, informational text, proprietary data, interface elements, and layout. This Content is protected under copyright law and the Unbound Medicine EULA. Content does not include any material or data inputted, uploaded, or otherwise submitted by users of Assist.
AI-Generated Content: "AI-generated Content" refers to content primarily produced by Assist’s AI-driven features, guided by Unbound’s expertise. This content can be customization by educators for personal or educational use within a classroom or institution. AI-Generated Content may contain links to Content but does not transfer any rights to the underlying Content.
User Content: “User Content” refers to any data, information, content, or material that you, as a user of Assist, input, upload, or otherwise submit to Assist. This includes, but is not limited to, personalized data entries, responses to educational activities, notes, comments, feedback (as detailed below) and other forms of input that can be used by Assist to personalize or enhance the user experience. User Content is distinct from Content in that it originates from the user and not from Unbound or its licensors.
2. ELIGIBILITY AND REGISTRATION. Access to Assist is only available to Assist Users. To access Assist, you may be asked to create a unique screen name that will be different from your username for other parts of the Service. Your screen name will be considered part of your User Content (as defined below) for the purposes of this Agreement.
3. LICENSE TO USE ASSIST. Assist provides AI-driven features that interact with three types of content:
Content : The proprietary Content provided by Unbound and its licensors, including licensed materials from textbooks and other sources, may not be copied, modified, distributed, or used to create derivative works, except as expressly permitted under fair use laws or with written permission from Unbound. The presence of links to Content within AI-Generated Content does not grant additional rights to the underlying Content beyond fair use.
AI-Generated Content : You are permitted to customize AI-Generated Content for personal or educational use within your classroom or institution. However, you may not distribute, publish, or create derivative works from AI-Generated Content for broader commercial purposes or public dissemination.
User Content: You retain ownership of your User Content while granting Unbound a license to use it to provide and improve Assist’s services, as detailed in Section 6 (Ownership and Intellectual Property).
All use must comply with applicable laws and not infringe on Unbound’s intellectual property rights or violate any terms of this Agreement or the Unbound Medicine EULA
4. LIMITATIONS OF AI-GENERATED OUTPUTS. Unbound strives to provide high-quality content through Assist, but due to the nature of AI-generated outputs, Unbound cannot fully control the content produced by Assist. AI-generated outputs may not always be accurate, complete, or current, and should not be relied upon as the sole basis for important decisions or for educational use. Assist is intended to enhance users’ knowledge and facilitate its application in practice; however, users must exercise their own judgment and remain the final decision-makers when evaluating and applying the information provided by Assist. Unbound expressly disclaims any liability for inaccuracies, errors, or the relevance of content generated by Assist, and for any reliance placed on such content.
5. USER CONTENT AND DATA PROTECTION. Assist allows you to input certain content, referred to as "User Content." You are solely responsible for any User Content you make available through Assist. Unbound is committed to protecting your privacy and the integrity of your data by implementing robust data protection measures in compliance with applicable laws and our Privacy Policy. By using Assist, you grant Unbound a non-exclusive, royalty-free license to use your User Content as necessary to provide Assist’s features. Additionally, Unbound may use anonymized and aggregated User Content to improve AI system guidance and enhance Assist’s functionality, while ensuring compliance with all applicable privacy laws.
6. OWNERSHIP AND INTELLECTUAL PROPERTY.
Content Ownership : All Content is the property of Unbound and its licensors. Unbound and its licensors retain all rights, title, and interest in the Content, including any and all intellectual property rights therein. Except for the limited rights expressly granted under these Assist Terms, you obtain no rights in or to the Content. Unbound and its licensors reserve all rights not expressly granted to you under these Assist Terms.
AI-Generated Content : AI-Generated Content is produced by Assist using Unbound’s proprietary AI guidance and may incorporate elements of Content and/or responses to User Content. While you are granted rights to use AI-Generated Content for educational purposes as specified in Section 3, Unbound retains ownership of the underlying AI systems, processes, and guidance that generate this content. Any links to Content within AI-Generated Content remain subject to Content ownership rights.
User Content Ownership : You retain all right, title, and interest in and to your User Content. By submitting, posting, or displaying User Content on or through Assist, you grant Unbound a non-exclusive, royalty-free, worldwide, and fully sublicensable license to:
This license continues even after you stop using Assist, solely as necessary to provide and improve our services and as permitted under our Privacy Policy."
7. RESPONSIBILITIES AND RESTRICTIONS.
Responsibility for User Content: You are solely responsible for all User Content you submit, post, or display on or through Assist. You must ensure that you have all the rights needed to provide such User Content and that your User Content does not infringe or violate the rights of any third party or any applicable laws.
Use of Content: You are permitted to use Content provided by Unbound and its licensors solely for your personal, non-commercial use as part of using Assist. You may not copy, modify, distribute, sell, or lease any part of our Content, nor may you reverse engineer or attempt to extract the source code of that Content, except as laws prohibit these restrictions or you have our written permission.
Use of User Content: Unbound will only use your User Content to operate, provide, improve, and develop Assist and other Unbound services. Unbound respects your privacy and ensures that any use of User Content complies with the privacy policy in place, which is accessible on the Unbound website.
8. THIRD-PARTY SERVICES: Assist may integrate with or provide access to various third-party services, including APIs to large language models (LLMs) and other external services. While Unbound endeavors to ensure the quality and reliability of these integrations, it cannot guarantee uninterrupted access or the accuracy of third-party services. Unbound will make reasonable efforts to address any issues arising from these third-party services and will provide support to users experiencing difficulties. However, Unbound disclaims liability for any direct or indirect damages resulting from the use or performance of third-party services, except as required by applicable law.
9. AI ETHICS AND USAGE RESTRICTIONS. You agree to use Assist in a manner that is ethical and compliant with all applicable laws. Prohibited uses include, but are not limited to, generating or disseminating false or misleading information, creating or promoting discriminatory or unlawful content, violating intellectual property or privacy rights, engaging in illegal activities, or undertaking any actions that Unbound deems harmful, unethical, or inconsistent with the intended use of Assist. Failure to adhere to these restrictions may result in the suspension or termination of your access to Assist.
10. INDEMNIFICATION . You agree to indemnify, defend, and hold harmless Unbound from any claims, liabilities, losses, costs, or expenses (including reasonable attorney fees) arising from your use of Assist, any breach of this Agreement, or any User Content you provide. This includes, but is not limited to, claims of intellectual property infringement, privacy violations, defamation, or any reliance on information that may result in personal injury, death, or damage to property.
11. FEEDBACK. If you provide any feedback related to Assist or its Content, you agree that Unbound may use this feedback to enhance its products and services without any obligation to compensate you. You grant Unbound a worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise exploit the feedback in any form, media, or technology, whether known now or developed in the future, and to sublicense these rights to others.
12. TERMINATION. Unbound may, at its sole discretion, suspend or terminate your use of Assist with or without prior notice if you violate the Agreement. Upon termination, all rights granted to you will cease, and you may not use Assist. Unbound will not be liable to you or any third party for the termination of your access. Licenses granted to Unbound relating to User Content will survive termination. You may discontinue use at any time by notifying Unbound in writing.
13. MODIFICATIONS TO ASSIST. Unbound reserves the right to modify, suspend, or discontinue Assist with or without notice to you and Unbound is not liable to you or any third party should Unbound exercise its right to modify Assist. If you object to any such changes, your sole recourse is to discontinue using Assist. Continued access and/or use of Assist following notice of any such changes will indicate your assent to and acceptance of such changes.
